These Terms & Conditions ("Terms") govern your access to and use of joinincisive.com and the Incisive customer portal (collectively, the "Service"), operated by Incisive Dental Purchasing, LLC ("Incisive," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.

1. Eligibility

You must be at least 18 years old, and have the authority to bind the business you represent, to use the Service.

2. The Service

Incisive provides a dental purchasing platform and customer portal, including case tracking, hold-status alerts, and billing information, to member practices and prospective customers.

3. Accounts & portal access

You're responsible for maintaining the confidentiality of your portal login credentials and for all activity under your account. Notify us promptly at (617) 245-7220 if you suspect unauthorized use.

4. Acceptable use

You agree not to: misuse the Service to transmit unlawful, harmful, or infringing content; attempt to gain unauthorized access to any part of the Service or its systems; interfere with or disrupt the Service's operation; or scrape, reverse-engineer, or resell the Service without our written permission.

5. Intellectual property

The Service, including its content, design, and trademarks, is owned by Incisive or its licensors and is protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. Nothing in these Terms transfers ownership of that intellectual property to you.

6. SMS / text messaging program terms

Program: Incisive Customer Updates.

Message types: By opting in, you agree to receive SMS text messages from Incisive related to your account, including case status and hold-reason alerts, portal access reminders, and billing notifications. Consent to receive these messages is not a condition of purchasing any goods or services, and is collected separately from any other consent (such as email marketing).

Message frequency: varies.

Cost: message and data rates may apply for messages sent to you from us and from you to us. Contact your wireless carrier for details about your plan.

Opt-out: text STOP at any time to cancel. We also honor END, CANCEL, UNSUBSCRIBE, and QUIT. You'll receive a one-time confirmation that you've been unsubscribed. To resume, text START.

Carrier liability: carriers are not liable for delayed or undelivered messages. This service is available on most major U.S. wireless carriers; coverage and availability may vary.

Age requirement: you must be 18 or older, or have parental/guardian consent, to participate in this program.

7. Third-party services

The Service may link to or integrate with third-party websites and tools (such as our scheduling and support integrations). We don't control those third parties and aren't responsible for their content, policies, or practices — review their terms separately.

8. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the maximum extent permitted by law, Incisive and its officers, employees, and affiliates won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim relating to the Service is limited to the amount you paid us, if any, in the twelve months before the claim arose.

10. Indemnification

You agree to indemnify and hold Incisive harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Service.

11. Governing law

These Terms are governed by the laws of the State of New Hampshire, without regard to its conflict-of-laws principles. Any disputes arising from these Terms or the Service will be resolved in the state or federal courts located in New Hampshire, and you consent to their jurisdiction.

12. Changes to these Terms

We may update these Terms from time to time. We'll post the revised version here with an updated "Last Updated" date, and continued use of the Service after changes take effect means you accept the updated Terms.
